Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") are a binding agreement between you (and the organization you represent) and iSpanify LLC ("iSpanify", "we", "us"). By accessing or using the iSpanify platform, website, and related services (collectively, the "Services"), you agree to these Terms and our Privacy Policy. If you are using the Services on behalf of an organization, you represent that you are authorized to bind that organization. If you do not agree, do not use the Services.

2. The Services

iSpanify provides an operating system for growing businesses — an operational command center with tools for standard operating procedures, training, tasks, projects, hiring, HR processes, KPI tracking, audits, approvals, accountability, and multi-location and franchise management. iSpanify is designed to work alongside, and is not a replacement for, payroll, ecommerce, accounting, email, marketing, scheduling, or point-of-sale platforms. We may add, modify, or discontinue features over time.

3. Eligibility & Accounts

You must be at least 18 years old to use the Services. You are responsible for the accuracy of your account information, for maintaining the confidentiality of your credentials, and for all activity under your account. Notify us promptly of any unauthorized access or security incident involving your account.

4. Free Trials & Beta Features

We may offer free trials and pre-release or "beta" features. Trials and beta features are provided "as is," may change or be withdrawn at any time, and may be subject to additional terms. Features described as planned or "on our roadmap" are not part of the Services until released.

5. Subscriptions, Billing & Taxes

Paid plans are billed per active location on a monthly or annual basis as selected at purchase. Unless stated otherwise, subscriptions renew automatically for successive terms until cancelled. Fees are exclusive of taxes, which you are responsible for. Fees are non-refundable except where required by law. We may change pricing with at least 30 days' notice before your next billing cycle.

6. Customer Data & License to Us

You retain all rights to the data you and your team submit to the Services ("Customer Data"). You grant us a limited, worldwide license to host, process, transmit, and display Customer Data solely to provide and improve the Services and as instructed by you. You represent that you have the necessary rights and lawful basis to provide Customer Data and that your use of the Services complies with applicable law.

7. Acceptable Use

• Do not use the Services unlawfully or in violation of applicable regulations.
• Do not attempt to access accounts, data, or systems you are not authorized to access.
• Do not interfere with, disrupt, or probe the integrity or performance of the Services.
• Do not upload malicious code or infringing, unlawful, or harmful content.
• Do not resell, sublicense, or provide the Services to third parties without our written consent.

We may suspend access to protect the Services, other customers, or to comply with law.

8. Third-Party Services & Integrations

The Services may interoperate with third-party tools you choose to use (for example, payroll, ecommerce, accounting, email, marketing, scheduling, or POS providers). Your use of those tools is governed by their own terms and privacy policies. We are not responsible for third-party services, and your relationship with those providers is solely between you and them.

9. Intellectual Property & Feedback

The Services — including software, design, templates, and content provided by iSpanify — are owned by iSpanify or its licensors and protected by intellectual property laws. These Terms grant no rights to our trademarks or branding. iSpanify™ and the iSpanify logo are trademarks of iSpanify LLC; you may not use them without our prior written permission. If you provide feedback or suggestions, you grant us a perpetual, royalty-free license to use it without restriction or obligation to you.

10. Confidentiality

Each party may access the other's confidential information in connection with the Services. Each party agrees to protect the other's confidential information with reasonable care and to use it only as needed to perform under these Terms, except where disclosure is required by law.

11. Disclaimers

The Services are provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or secure against all threats.

12. Limitation of Liability

To the maximum extent permitted by law, iSpanify will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, data, or goodwill. Our aggregate liability arising out of or relating to these Terms or the Services will not exceed the amounts you paid to us in the twelve (12) months preceding the event giving rise to the claim.

13. Indemnification

You agree to defend, indemnify, and hold harmless iSpanify and its officers, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your Customer Data, your use of the Services, or your breach of these Terms or applicable law.

14. Term & Termination

You may cancel at any time, effective at the end of the current billing period. We may suspend or terminate access for material breach of these Terms or as required by law. On termination, your right to use the Services ends; you may export Customer Data for thirty (30) days, after which it may be deleted in the ordinary course.

15. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Texas, United States, without regard to conflict-of-laws rules. The parties submit to the exclusive jurisdiction of the courts located in the state and federal courts located in Texas, United States, except that either party may seek injunctive relief in any court of competent jurisdiction.

16. Force Majeure

We are not liable for any delay or failure to perform due to causes beyond our reasonable control, including acts of God, outages, network or hosting-provider failures, labor disputes, or governmental actions.

17. Changes to These Terms

We may update these Terms from time to time. We will post the updated version with a new date and, for material changes, provide reasonable notice. Continued use after changes take effect constitutes acceptance.

18. General

These Terms, together with the Privacy Policy and any order you accept, are the entire agreement between the parties and supersede prior agreements on the subject. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. If any provision is held unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. Notices to you may be provided in-product or by email.
